These Terms of Service (“Terms”) are a binding agreement between you and Einvenio Technologies LLC (“eiveon,” “we,” “us,” or “our”) governing your access to and use of our website, parent portal, curriculum platform, student access tools, subscriptions, and related services (collectively, the “Services”).
By creating an account, subscribing, accessing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Who We Are
Einvenio Technologies LLC is a United States-based company that provides after-school science curriculum, parent account tools, student progress tracking, subscription management, and related educational services under the eiveon brand.
2. Eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create a parent account or purchase a subscription.
Student or child access may only be created, activated, or managed by a parent or legal guardian, or another adult with authority to act on the child's behalf.
By using the Services, you represent and warrant that:
- you are legally able to enter into these Terms;
- the information you submit is accurate and current; and
- if you create or manage a student profile, you are authorized to do so.
3. The Services
The Services currently include public-facing website content, parent account registration and login, student profile creation and management, course subscriptions, billing and payment-method management, progress reporting, session history, device management, and related support tools.
We may add, remove, modify, or discontinue features from time to time.
4. Parent Accounts and Account Security
You are responsible for:
- maintaining the confidentiality of your login credentials;
- all activity that occurs under your account;
- ensuring that your account and student information remains accurate; and
- promptly notifying us if you believe your account has been accessed without authorization.
You may not share your parent account credentials outside your household or otherwise allow unauthorized persons to access the Services through your account.
We may require identity verification, account verification, or additional security steps in some situations.
5. Student Profiles and Parental Responsibility
The Services are intended to be managed by parents or legal guardians. If you create or manage a student profile, you are responsible for:
- obtaining any permissions required to provide student information to us;
- supervising your child's or student's use of the Services;
- managing student PINs, device access, and subscription access; and
- reviewing student progress, session history, and account settings through the parent portal.
You understand that student access, learning records, device history, and subscription-linked learning features may be visible within the parent account that created or manages the student profile.
6. Acceptable Use
You agree not to, and not to permit others to:
- misuse the Services or interfere with their normal operation;
- access the Services in a way that could damage, disable, overburden, or impair them;
- copy, scrape, reproduce, republish, distribute, sell, sublicense, or commercially exploit curriculum content, worksheets, lessons, assessments, or platform materials except as expressly permitted by us;
- attempt to bypass authentication, access controls, or subscription limitations;
- upload, submit, or transmit unlawful, infringing, abusive, harmful, or misleading content;
- use the Services in violation of applicable law;
- impersonate another person or misrepresent your relationship to a student;
- reverse engineer or attempt to extract source code, except to the extent prohibited by law; or
- use automated means to access or monitor the Services in a manner not authorized by us.
7. Subscriptions, Billing, and Payment
Certain features of the Services require a paid subscription.
A. Recurring billing
If you purchase a subscription, you authorize us and our payment processors to charge the payment method you provide for recurring fees, taxes, and other charges associated with your subscription.
Subscriptions are billed in advance on a recurring basis according to the plan you select, such as monthly or annual billing, until canceled.
B. Trials and promotions
We may offer free trials, promotional pricing, or limited-time offers. Trial length, promotional pricing, and eligibility may vary by plan or offer. Unless otherwise stated, when a trial ends, the applicable paid subscription will begin and your payment method may be charged automatically unless you cancel beforehand.
C. Cancellation
Subscriptions are offered with no contracts. They automatically renew unless canceled. You may cancel at any time, and your cancellation request takes effect immediately for purposes of stopping future renewal charges. Unless otherwise stated, you will continue to have access through the end of your current paid billing period.
D. Pause, resume, add-course, and change-card features
The current parent portal includes tools that may allow you to pause or resume certain subscriptions, change the associated payment method, add courses to an existing subscription, or remove courses from a subscription. Availability of these actions may depend on the subscription's status.
E. Refunds
Except as required by law, fees are generally non-refundable. eiveon does not offer a general refund policy, but we may choose to issue credits or refunds in individual cases at our sole discretion.
F. Pricing changes
We may change pricing, plans, features, or billing structures from time to time. Any price changes for future billing periods will be communicated in advance where required by law.
We will provide at least 1 month advance notice before pricing changes take effect for future billing periods.
G. Payment processors
We use third-party payment processors, including Stripe. Your payment transactions may also be subject to the processor's terms and policies.
8. Educational Content and No Guaranteed Outcomes
Eiveon provides educational content, worksheets, assessments, progress tracking, and related learning tools. The Services are designed to support learning, but we do not guarantee any particular educational result, mastery level, test score, admission result, or academic outcome.
Learning outcomes depend on many factors outside our control, including student effort, consistency, supervision, prior knowledge, and offline instruction.
9. Intellectual Property and License
The Services, including our curriculum, lessons, worksheets, assessments, text, graphics, design, code, software, trademarks, logos, and other content, are owned by Einvenio Technologies LLC or our licensors and are protected by intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, non-commercial household use.
This license does not permit you to:
- reproduce or distribute curriculum materials outside permitted household use;
- build a competing product using our content or Services;
- remove proprietary notices; or
- use our branding without permission.
You retain rights in data you submit to the Services, subject to the rights needed for us to operate the Services and as described in our Privacy Policy.
10. Feedback
If you provide suggestions, ideas, comments, or feedback about the Services, you grant us a worldwide, non-exclusive, perpetual, irrevocable, royalty-free license to use, modify, and incorporate that feedback without restriction or compensation to you.
11. Third-Party Services
The Services may depend on or integrate with third-party services such as payment processors, hosting providers, infrastructure providers, email providers, or other vendors. We are not responsible for third-party services except as required by law.
Your use of certain third-party services may be subject to additional third-party terms.
12. Suspension and Termination
You may stop using the Services at any time. You may also cancel your account or subscriptions through available account tools, subject to any remaining billing obligations and any legal retention requirements.
We may suspend, restrict, or terminate your access to some or all of the Services. Where practical, we will provide notice before doing so, except where immediate action is reasonably necessary for fraud prevention, security, legal compliance, or to protect the Services, our users, or other third parties.
We may take those actions if:
- you violate these Terms;
- you create legal, security, or operational risk;
- payment cannot be collected;
- we reasonably suspect fraud, abuse, or unauthorized access; or
- we are required to do so by law.
Termination or suspension does not limit any rights or remedies available to us.
13. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” TO THE MAXIMUM EXTENT PERMITTED BY LAW.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EIVEON DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that the Services will be uninterrupted, error-free, secure, or free from harmful components, or that defects will always be corrected.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- EIVEON AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS; AND
- EIVEON'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.
Some jurisdictions do not allow certain limitations of liability, so parts of this section may not apply to you.
15. Indemnification
You agree to defend, indemnify, and hold harmless Eiveon and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or related to:
- your use or misuse of the Services;
- your violation of these Terms;
- your violation of applicable law; or
- your infringement of another person's rights.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the United States and the State of California, without regard to conflict-of-laws rules.
You and eiveon agree that any dispute arising out of or relating to these Terms or the Services will first be attempted to be resolved informally by reaching out via our contact form and participating in one-on-one good-faith discussions.
If a dispute cannot be resolved informally, it will be resolved in the state or federal courts located in California, except to the extent applicable law requires otherwise.
17. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we may provide notice by posting an updated version, updating the “Last updated” date, sending an email, or providing another notice through the Services where appropriate.
Your continued use of the Services after updated Terms become effective means you accept the updated Terms.
